Resolution Plans
In the case of corporate insolvency resolution processes, where a resolution plan is proposed by a prospective buyer or investor, escrow accounts can be employed to hold the consideration amount offered by the resolution applicant. The funds can be kept in escrow until the plan is approved and implemented as per the provisions of the Insolvency and Bankruptcy Code (IBC).
Liquidation Processes
During the liquidation of a company, escrow accounts can be used to hold funds received from the sale of assets or other sources until the distribution to various stakeholders. This ensures transparency, accountability, and proper allocation of funds in accordance with the priority of payments prescribed under the IBC.
Pre-Packaged Insolvency Resolution
Under the recently introduced pre-packaged insolvency resolution process, escrow accounts can be utilized to hold the funds offered by the resolution applicant as part of the resolution plan. The funds can be released in a phased manner, subject to certain conditions and milestones, to ensure the successful implementation of the plan.
Sale of Assets
Escrow arrangements can be used in the sale of assets during insolvency processes. The purchaser may be required to deposit the purchase consideration into an escrow account until the completion of the transaction, ensuring the transfer of assets in compliance with the applicable laws and regulations.
Deposit of Claims
In cases where creditors or claimants deposit their claims with the NCLT or IBBI, an escrow account can be established to hold the deposited claims until their verification and adjudication. This provides security and transparency in the claim settlement process.
Payment of employee wages and other dues under the IBC
The IBC also allows for the use of an escrow account to hold funds that are owed to employees and other creditors of a corporate debtor. This ensures that these creditors are paid in full, even if the corporate debtor is unable to pay them directly.
